Ocean Cliff’s principals bring institutional-scale transactional experience from a leading Canadian pension fund and from leading one of BC’s best in class mid-sized real estate private equity groups. This experience spans the full range of corporate transaction types — acquisitions, dispositions, joint ventures, platform formations, and capital restructurings — across some of Canada’s most significant real estate mandates.

Prior roles included representing BCI in the creation of QuadReal Property Group, leading the divestment of Bentall Kennedy, executing the Delta Hotels sale to Marriott International, and the full-portfolio disposition of SilverBirch Hotels.

Delta Hotels — Marriott International
Sale of Brand & Platform
Advised on and executed the sale of the Delta Hotels brand and operating platform to Marriott International. The process involved engaging a leading investment banker and corporate legal counsel, creating and positioning value within the Delta platform prior to disposition, and running a fully marketed global sale process with structured buyer interviews across prospective acquirers worldwide. Negotiations required coordinating across multiple Marriott deal teams simultaneously, managing competing interests, and structuring a transaction that delivered maximum value for the seller.

Bentall Kennedy
Strategic Stake Divestiture
Advised on and executed BCI’s divestiture of its one-third ownership stake in Bentall Kennedy to Sun Life Financial — one of Canada’s largest institutional real estate transactions of the period. The mandate required navigating a complex multi-party shareholder structure, valuing a leading institutional asset management platform, and coordinating the transition of BCI’s real estate management relationships. A pivotal step in BCI’s broader strategy to bring real estate management in-house through the subsequent creation of QuadReal Property Group.

BCI — QuadReal Property Group
Platform Formation & In-House Transition
Represented BCI (British Columbia Investment Management Corporation) in the creation of QuadReal Property Group — a purpose-built, independently operated real estate investment and management company established to bring BCI’s $18+ billion real estate portfolio fully in-house. The strategic rationale: direct control, eliminating third-party management fees, retaining institutional knowledge, and building proprietary real estate capability at scale.

SilverBirch Hotels & Resorts
Full Portfolio Disposition
Structured and executed the full-portfolio sale of SilverBirch Hotels of $1.1 Billion — delivering above-guidance pricing. The exit was designed from the ground up: buyer identification, process management, and negotiation conducted with the same discipline applied at acquisition. Final pricing reflected the compounding value of patient entry and active management.
